Communication pursuant to Article 37-ter, paragraph 3, of the Regulation adopted by Consob with resolution no. 11971 of 14 May 1999, as subsequently amended and integrated (the “Issuers Regulation”), concerning the mandatory public tender offer launched by A2A S.p.A. and Lario Reti Holding S.p.A. (the “Bidders”) having at its object a maximum number of 26.264.874 shares of ACSM AGAM S.p.A..

The Bidders announce that today they have filed with CONSOB – pursuant to Articles 102, 106, paragraph 1, and 109, of the Legislative Decree no. 58 of 24 February 1998, as subsequently amended and integrated (the “TUF”) and Article 37-ter of the Issuers Regulation – the offer document (the “Offer Document”) concerning the mandatory public tender offer launched pursuant to Articles 102, 106, paragraph 1, and 109, of the TUF (the “Offer”) having at its object a maximum number of 26.264.874 ordinary shares of the Issuer.
Tendering shareholders will receive the consideration equal to Euro 2.47 (two point forty seven) for each tendered share.
The overall maximum consideration of the Offer, in case of full adherence to the Offer, is equal to Euro 64,874,238.78.
The Offer is not aimed at the delisting of the shares of the Issuer from the stock-exchange.
The Offer Document will be published once it is approved by the CONSOB, within the final term of the preliminary investigation pursuant to Article 102, paragraph 4, of the TUF.
In the meantime, pending the publication of the of the Offer Document, for anything not expressly indicated herein, please refer to the communication pursuant to Article 102, paragraph 1, of the TUF, published on the website www.acsam-agam.it, which provides the description of the key element of the Offer.
